Preamble<\/p>

These General Terms and Conditions of Purchase aim to set forth the general provisions applicable to Orders of products placed by Blackfox with its suppliers. The company Blackfox is a simplified joint-stock company (soci\u00e9t\u00e9 par actions simplifi\u00e9e) with a share capital of \u20ac2,000,000, having its registered office located at 19 Avenue des Pays-Bas, Saint-Germain-sur-Moine, 49230 SEVREMOINE (France), registered with the ANGERS Trade and Companies Register under number 351 962 964.

1. Definitions<\/h3>

Terms and expressions used in these General Terms and Conditions with a capital letter shall have the following meaning:
\"\u25aa\" \u00ab Blackfox<\/strong> \u00bb means the company Blackfox, whose legal notices are set out in the Preamble.
\"\u25aa\" \u00ab Order<\/strong> \u00bb means the Order form issued by Blackfox and its appendices, if any.
\"\u25aa\" \u00ab General Terms and Conditions of Purchase<\/strong> \u00bb means these General Terms and Conditions of Purchase, applicable to the relationship between Blackfox and the Supplier.
\"\u25aa\" \u00ab Specific Conditions<\/strong> \u00bb means the specific conditions concluded between Blackfox and the Supplier, intended to supplement these General Terms and Conditions of Purchase, specifying in particular the nature and quantity of the Products supplied to Blackfox as well as the pricing and delivery conditions.
The Specific Conditions are materialized by the Order accepted by the Supplier under the conditions of Article 4.1.
\"\u25aa\" \u00ab Supplier<\/strong> \u00bb means the natural or legal person, acting for purposes that fall within the scope of its professional activity, who manufactures and supplies Products to Blackfox according to the terms of the Contract.
\"\u25aa\" \u00ab Supplies<\/strong> \u00bb means the materials provided by Blackfox and used for the manufacture of the Products by the Supplier.
\"\u25aa\" \u00ab Price List<\/strong> \u00bb means the Supplier's prices communicated to Blackfox or modified under the conditions of Article 4.1.
\"\u25aa\" \u00ab Raw Materials<\/strong> \u00bb means the raw materials used for the manufacture of the Products by the Supplier.
\"\u25aa\" \u00ab Parties<\/strong> \u00bb means Blackfox and the Supplier together.
\"\u25aa\" \u00ab Products<\/strong> \u00bb means the products ordered by Blackfox, as described in the Order.
\"\u25aa\" \u00ab Specifications<\/strong> \u00bb means the technical specifications relating to the Products, transmitted by Blackfox to the Supplier.
\"\u25aa\" \u00ab VQS<\/strong> \u00bb means the quality standards for the Products defined and communicated by Blackfox to the Supplier.<\/p>

2. Scope of Application<\/h3>

These General Terms and Conditions of Purchase apply to the contractual relations between the Supplier and Blackfox, subject to derogations agreed between Blackfox and the Supplier under the conditions set out in Article 3.<\/p>

3. Acceptance of the General Terms and Conditions of Purchase<\/h3>

The acceptance of the Order by the Supplier, under the conditions of Article 4.1, implies its full and unreserved adherence to the General Terms and Conditions of Purchase.
Any derogation from these General Terms and Conditions of Purchase, resulting from commercial negotiation, must be subject to an express and written acceptance by Blackfox. Any document not communicated to Blackfox and not expressly accepted by Blackfox shall be unenforceable against it.<\/p>

4. Order<\/h3>

4.1. Order Process<\/h5>

The Order is communicated by Blackfox to the Supplier by any written means.
Blackfox specifies in the Order the nature, quantity, where applicable the Specifications of the Products, as well as the applicable price if Blackfox has the Supplier's Price List.
A price offer from the Supplier or an intention to Order from Blackfox cannot be considered as a commitment by Blackfox. Only a document with Blackfox's letterhead is considered an Order.
The Supplier has a period of four (4) business days to make a price proposal to Blackfox, to propose a modification of the Order or to accept the Order.
In the absence of a response within the aforementioned four (4) day period, the Order will be deemed accepted without reservation by the Supplier.
The Contract is formed by the acceptance of the Order by the Supplier, express or tacit.<\/p>

4.2. Modification of the Order<\/h5>

The Order can only be modified by written agreement between the Parties.
In the absence of a written agreement between Blackfox and the Supplier, the general or specific conditions appearing in the documents established by the Supplier that are not in accordance with the Order are unenforceable against Blackfox.<\/p>

4.3. General Provisions<\/h5>

The Order cancels and replaces all previous proposals, negotiations, drafts, commitments, written or oral, existing between the Supplier and Blackfox.
The Supplier is responsible for obtaining in a timely manner all prior accreditations and authorizations required by the competent authorities for the execution of the Order.
Any documentation, tools or goods provided by Blackfox to the Supplier for the purposes of the Order must be checked by the Supplier before any execution.<\/p>

5. Manufacture of Products<\/h3>

5.1. Supplier's Commitments<\/h5>

The Supplier undertakes to manufacture the Products in accordance with the Order, the Specifications, the VQS and, more generally, Blackfox's instructions.
The Supplier may not, without Blackfox's prior agreement, replace the Products of the Contract with other products, even equivalent ones.
Unless expressly agreed by Blackfox, partial deliveries are not authorized and the quantities must correspond to the Specific Conditions.<\/p>

5.2. Destination of the Products<\/h5>

The Products delivered must comply with the legislation, regulations and standards applicable in France and the European Union.<\/p>

5.3. REACH (Registration, Evaluation, Authorisation and Restriction of Chemicals)<\/h5>

Before each production, the Supplier must ensure that all Products comply with the REACH standard.
REACH is a European standard implemented by European Regulation n\u00b01907\/2006 and aiming to protect human health and the environment against risks related to chemical substances. Products sold on the European market must therefore comply with this standard, be validated by tests and obtain REACH certification.
All tests performed by the Supplier as part of the conformity of the Products with the REACH standard are transmitted to Blackfox for information.
To this end, the supplier must submit samples of raw materials for tests aimed at ensuring compliance with the REACH standard. The costs related to the performance of these tests shall be borne exclusively by the supplier.
BLACKFOX reserves the right to test the productions of its choice.
To this end, a service provider mandated by Blackfox will collect the finished products for tests in approved laboratories of its choice. The costs of these tests will be borne by BLACKFOX. In case of non-conforming results, the merchandise will be refused and upon Blackfox's request, the supplier undertakes to reproduce the products within a maximum period of 4 weeks.<\/p>

5.4. Quality Control<\/h5>

To allow Blackfox to exercise control over the quality and quantity of the Products, the Supplier undertakes to allow Blackfox or its representative(s) to access all factories where the Products are manufactured, regardless of the stage of manufacturing, and to its offices, in order to (i) check the machinery, manufacturing processes, stocks and quality of the Raw Materials and Supplies, stocks and quality of finished or semi-finished Products and\/or (ii) inspect or have inspected the accounting records for the number of Product items manufactured. The Supplier must assist Blackfox or its representative(s) in its inspections and provide all requested instructions or explanations.
The Supplier undertakes to make every effort to deliver products free of defects. It may rely on the VQS to fully understand Blackfox's expectations and deliver Products in line with this document. If this is not the case, financial penalties may be applied to compensate for Blackfox's loss.
These financial penalties will be determined according to the seriousness of the defect noted in relation to the VQS, the proportion of non-conforming Products within the Order, as well as all the logistical and administrative costs generated by the processing of non-conformity (sorting, storage, re-shipment or destruction costs).<\/p>

5.5. Product Packaging<\/h5>

Packaging is carried out by the Supplier, under its responsibility, according to the best practices in use for the protection of the Products.
The packaging complies with European and French regulations, where applicable, relating to packaging.
The Products must be suitably protected, wedged and packaged so as to keep them in perfect condition, particularly during the various handling and transport operations.<\/p>

5.6. Surplus Goods<\/h5>

If the quantity of Products by color and size actually manufactured or delivered by the Supplier exceeds that provided for in the Specific Conditions (the \"Surplus Goods\"), Blackfox is free, either (i) to purchase, in addition to the Total Price, all or part of these Surplus Goods, at a reduced unit price to be agreed between the Parties, or (ii) to request the Supplier to destroy, at its expense, any unauthorized surplus goods, providing proof thereof to Blackfox and in the presence of a Blackfox representative if Blackfox so desires.<\/p>

6. Subcontracting<\/h3>

Any subcontracting by the Supplier requires Blackfox's prior authorization and in any event the Supplier remains responsible for the execution of the Order in accordance with the Contract.<\/p>

7. Supplies<\/h3>

Blackfox may at its convenience make available to the Supplier Supplies intended to be used for the manufacture of the Products.
The Supplies are detailed and used in accordance with the Specific Conditions.
The Supplier is responsible for the implementation and use of the Supplies entrusted by Blackfox for the performance of the Order.
Any non-conformity or defect in Blackfox's Supplies or any shortage in delivery must be reported without delay to the carrier, the supplier (if different from Blackfox) and Blackfox by email. The Supplier must, at any time, at Blackfox's first request, immediately return to Blackfox all Supplies in its possession.
The Supplier may not replace the Supplies with other materials except with Blackfox's agreement. For this purpose, the Supplier must transmit to Blackfox a sample of the materials it proposes to use in place of the Supplies.<\/p>

8. Price<\/h3>

The applicable Price is based on the Price List or failing that, the one agreed between the Parties.
The Supplier invoices the total price indicated in the Specific Conditions (\"Total Price\").
Where applicable, the Total Price may only be modified with Blackfox's prior and written agreement and any additional cost must be accepted beforehand and in writing by Blackfox.
Unless otherwise stipulated in the Order, the prices submitted by the Supplier are deemed inclusive of all taxes (excluding VAT), firm and non-revisable.<\/p>

9. Payment Deadlines<\/h3>

Invoices are paid within a period agreed between the Parties in the Specific Conditions.<\/p>

10. Delivery<\/h3>

10.1. Delivery Deadlines<\/h5>

Delivery deadlines are established in agreement with the Supplier and appear in the Specific Conditions.
They are firm and begin to run from the date appearing in the Order.<\/p>

10.2. Late Penalties<\/h5>

In the event of late delivery, the Supplier shall automatically pay the following penalties :<\/p>

  • (i) 0% for a delay equal to or less than 7 calendar days;<\/li>
  • (ii) 2.5% for a delay of 8 to 15 calendar days;<\/li>
  • (iii) 5% for a delay of 16 to 30 calendar days;<\/li>
  • (iv) 10% for a delay of more than 30 calendar days,<\/li><\/ul>

    Furthermore, if the delay exceeds 28 days, the Supplier must send the Products by the fastest means at its expense.<\/p>

    10.3. Delivery Conditions<\/h5>

    The Products will be delivered in accordance with the Specific Conditions agreed between the two parties.
    The delivery of the Products takes place at the location specified in the Order or failing that, at Blackfox's premises located at the address at the top of these presents.
    The Supplier must inform Blackfox without delay of any event likely to harm the execution of the Order.<\/p>

    11. Transfer of Title and Risk<\/h3>

    Blackfox will become the owner of the Products upon their delivery at the delivery point referred to in Article 10.3.<\/p>

    12. Intellectual Property<\/h3>

    The intellectual property rights attached to the Products, including in particular trademarks, drawings, plans, models and patents, are the exclusive property of Blackfox or its partners.
    These provisions apply including to any support handed over by Blackfox to the Supplier for the purposes of the Order.
    No use license is granted by Blackfox under these General Terms and Conditions of Purchase.
    Any intellectual property right created during the performance of the Order is automatically and free of charge transferred to Blackfox.<\/p>

    13. Warranty<\/h3>

    The Supplier warrants that the Products will be manufactured in compliance with all laws and regulations in force in France and in Europe.<\/p>

    13.1. Conformity<\/h5>

    The Supplier warrants that upon delivery, the Products will in all respects comply with the plans and\/or samples, the Specifications, Blackfox's general conditions and any other instruction provided by Blackfox before the start of production, and that no material or technical defect will appear in the Products from the date of delivery and thereafter.<\/p>

    13.2. Hidden Defects<\/h5>

    The Supplier remains responsible for any visible or hidden defect, whether the defects are discovered in the finished Product stocks or as a result of customer returns.
    The Supplier is aware that the quality control carried out upon receipt of the Products is performed by random sampling which may not detect all defects (hidden or visible) and cannot be invoked by the Supplier to discharge its responsibility under these presents.<\/p>

    13.3. Counterfeiting<\/h5>

    The Supplier warrants that all Raw Materials do not infringe any intellectual property rights of third parties. In the event of third-party claims, Blackfox will be released from all liability and will not bear any prejudice or costs as a result. The Supplier guarantees Blackfox against all claims that third parties may assert on the Raw Materials and the Products.<\/p>

    14. Suspension<\/h3>

    Blackfox may suspend the collaboration subject to reasonable notice addressed to the Supplier.<\/p>

    15. Termination<\/h3>

    In the event of non-performance by the Supplier of all or part of its obligations under the Contract, without prejudice to its other rights, Blackfox shall be entitled to terminate all or part of the Contract as of right after written communication to the Supplier that remained without effect within a period of 15 days. Without prejudice to its rights to damages and interests, Blackfox shall be entitled to request the reimbursement of sums already paid to the Supplier as well as the reimbursement of costs incurred by Blackfox to remedy the Supplier's default, in particular the costs incurred for Orders placed with third parties to execute the terminated or resolved part of the Order.<\/p>

    16. Confidentiality<\/h3>

    Each Party undertakes, as a confidentiality clause, from the beginning of the relationship with the other Party, throughout the duration of the collaboration and without time limitation after its expiration, to the most complete confidentiality, by refraining from copying, imitating, disclosing, directly or indirectly, any information, knowledge or know-how whatsoever concerning the other Party, its operating procedures, the Products and, more generally, all information relating to the other Party to which it may have had access in the context of the execution of the Orders, unless it has obtained the written and prior agreement of the other Party or that said information, knowledge or know-how has fallen into the public domain or that their disclosure is made necessary by virtue of a particular regulation or an administrative or judicial injunction.
    Where applicable, each Party undertakes to ensure compliance with these obligations by all of its employees, subcontractors, and contractors.
    This obligation is an obligation of result.<\/p>

    17. Insurance<\/h3>

    The Supplier undertakes to take out an insurance policy guaranteeing its professional civil liability for all activities and obligations arising from these General Terms and Conditions of Purchase and the Contract.
    The Supplier undertakes to maintain this policy throughout the duration of the Contract and to provide proof thereof upon Blackfox's request, by providing a certificate from its insurers.<\/p>

    18. Absence of Waiver<\/h3>

    No delay or omission on the part of either Party in exercising any of its rights under the General Terms and Conditions of Purchase shall impair said right or be deemed to imply any waiver of the right to assert it. The rights and remedies stipulated in the General Terms and Conditions of Purchase are cumulative and not exclusive of any right or remedy that this Party may otherwise have.<\/p>

    19. Modification of the General Terms and Conditions of Purchase<\/h3>

    Blackfox reserves the right to modify the General Terms and Conditions of Purchase at any time, subject to respecting a notice period of thirty (30) days.
    The applicable General Terms and Conditions of Purchase are those in force on the date of the Order and as communicated to the Supplier.<\/p>

    20. Partial Invalidity<\/h3>

    The invalidity of a contractual clause does not entail the invalidity of the General Terms and Conditions of Purchase, with the exception of an impulsive and determining clause that led one of the parties to contract.<\/p>

    21. Applicable Law and Competent Courts<\/h3>

    The Contracts are governed by French law, excluding the provisions of the Vienna Convention on Contracts for the International Sale of Goods of April 11, 1980.
    The Parties undertake to attempt to resolve amicably any dispute relating to the validity, interpretation, execution or termination of these presents that may arise between them.
    Failing amicable settlement within thirty (30) days from its occurrence, the dispute shall be under the exclusive jurisdiction of the Commercial Court of PARIS (France).<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>","protected":false},"excerpt":{"rendered":"
